requires a license. No license under these patents,
which include but are not limited to United States Patent
Nos. 5,210,015, 5,487,972, 5,804,375, and 5,994,056
to use the 5' Nuclease Assay or any Roche patented homogeneous
amplification process is conveyed expressly or by implication
to the purchaser by the purchase of any TriLink BioTechnologies,

| TriLink custom synthesizes
many products at the request of its clientele, and cannot
determine the patent status of each request. Therefore
TriLink requires that all clients
indemnify TriLink from any legal action that may ensue
from the synthesis of an ordered custom product. This
indemnification will be applied to all orders, regardless
of the format the order is placed. |

| Terms
and Conditions of Sale ^top |
| ORDERS |
| The terms
and conditions of sale listed here constitute the contract
between Trilink
and Buyer. Orders submitted on Buyer's purchase order
or other documents that contain terms or conditions
modifying, adding to, or inconsistent with these terms
or conditions are acceptable to TriLink only upon the
condition that TriLink's Terms and Conditions of Sale
shall be the sole terms and conditions. If TriLink and
Buyer have heretofore entered into a formal written
contract containing specific terms covering the sale
of such products, the terms and conditions of such formal
written contract shall govern. If these terms and conditions
are not acceptable to the buyer, buyer must so notify
TriLink immediately, in writing. |
| CHANGES |
| Orders arising hereunder
may be changed or amended only by agreement by both
TriLink and Buyer. Buyer may not cancel this order unless
TriLink expressly agrees to such cancellation. In such
an event, TriLink will advise Buyer of the total charge
for such cancellation, and Buyer agrees to pay such
charges, including but not limited to, storage and shipment
costs, costs of producing non-standard materials, cost
of purchasing non-returnable materials, and any other
cost resulting from cancellation of this order which
is permitted by Trilink. |
| WARRANTY/RETURNS |
| TriLink warrants that
its products shall conform to the description of
such products as provided to Buyer through TriLink's
catalog, Certificate of Analysis, or other analytical data.
This warranty is exclusive, and seller makes no other
warranty, express or implied, of merchantability or
fitness for any particular purpose. Buyer's sole and
exclusive remedy against TriLink for any cause of action
arising out of the sale or use of any product described
herein shall be replacement of the product or refund
of the purchase price paid for the product. Immediately
upon Buyer's receipt of any goods shipped hereunder,
Buyer shall inspect the same and shall notify TriLink
in writing of any claims for shortages, defects, or
damages and shall hold the goods for TriLink's instructions
regarding disposition. If Buyer fails to so notify TriLink
within 30 days after Buyer has received the goods, such
goods shall conclusively be deemed to conform to the
terms and conditions hereof and to have been irrevocably
accepted by the Buyer. TriLink's warranties made in
connection with this sale shall not be effective if
TriLink determines, in its sole discretion, that Buyer
has misused the products in any manner, has failed to
use the products in accordance with industry standards
and practices, or has failed to use the products in
accordance with instructions, if any, furnished by Trilink.
Products may not be returned for credit except with
TriLink's permission, and then only in strict compliance
with TriLink's return shipment instructions. Any returned
items may be subject to a 15 percent restocking fee. |
| TAXES |
| Any tax, duty, or
any other fee of any nature whatsoever imposed by a
government authority, on or measured by the transaction
between TriLink and Buyer shall be paid by Buyer in
addition to the prices quoted or invoiced. In the event
TriLink is required to pay any such charge, Buyer shall
reimburse TriLink. In lieu of such payment, Buyer shall
provide TriLink at the time the order is submitted an
exemption certificate or other document acceptable to
the authority imposing the tax, duty, or fee. |
| TERMS |
| Unless otherwise specified,
terms are net 30 days from date of invoice, FOB San
Diego, freight prepaid and added. All prices are subject
to change without notice. Stenographic, clerical, and
computer errors are subject to corrections. |
| DELIVERY |
| TriLink reserves the
right to make delivery in installments, all such installments
to be separately invoiced and paid for when due per
invoice, without regard to subsequent deliveries. Delay
in delivery of any installment shall not relieve Buyer
of Buyer's obligations to accept remaining deliveries.
The Buyer shall place any claims concerning damage or
loss in transit through the carrier. |
| TECHNICAL ASSISTANCE |
| At Buyer's request,
TriLink may, at its own discretion, furnish technical
assistance and information with respect to TriLink's
products. TriLink makes no warranties of any kind, express
or implied, with respect to technical assistance or
information provided by TriLink or TriLink's personnel.
Any suggestions by TriLink regarding use, selection,
application or suitability of the products shall not
be construed as an express warranty unless specifically
designated as such in writing signed by an officer or
other authorized representative of TriLink. |
| PATENT DISCLAIMER/INDEMNITY |
| TriLink does not warrant
that the use or sale of the products delivered hereunder
will not infringe the claims of any United States or
other patents covering the product itself or the use
thereof in combination with other products or in the
operation of any process. Additionally, Buyer is required
to indemnify TriLink from any legal action that may
ensue from the synthesis of an ordered custom product,
or from Buyer's use of a product manufactured by TriLink
under this agreement. |
| MISCELLANEOUS |
| TriLink's failure
to strictly enforce any term or condition of this order
or to exercise any right arising hereunder shall not
constitute a waiver of TriLink's right to strictly enforce
such terms or conditions or exercise such right thereafter.
All right and remedies under this order are cumulative
and are in addition to any other rights and remedies
Trilink may have at law or in equity. |
| GOVERNING LAW |
| This agreement shall
be governed by, construed under and interpreted in accordance
with the laws of the state of California. In the event
that any provision contained herein shall be determined
to be unenforceable, all other provisions shall remain
in full force and effect and the affected provision
shall be construed so as to be enforceable to the maximum
extent permissible by applicable law. |
